Welcome to Coastal Automations. By accessing our website at coastalautomations.com or using our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

1. Services

Coastal Automations provides AI automation solutions, workflow optimization, and related consulting services for businesses and professionals in the 757/804 Virginia region and beyond. Our services include but are not limited to:

• Business automation system design and implementation

• Lead generation and customer communication workflows

• Appointment booking and reminder systems

• Personal productivity automation consulting

• Website development and integration services

2. Acceptance of Terms

By booking a consultation, signing a service agreement, or engaging with our services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract to use our services. If you are accepting these terms on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms.

4. Service Agreement and Pricing

• All services are provided based on the specific terms outlined in your individual service agreement or proposal.

• Pricing, payment terms, and deliverables will be clearly defined in your service agreement.

• Setup fees and monthly retainers (if applicable) are non-refundable unless otherwise specified in writing.

• We reserve the right to modify our pricing and service offerings at any time, though changes will not affect existing signed agreements.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for us to deliver services

• Respond to requests for information, feedback, or approvals in a timely manner

• Maintain the confidentiality of any login credentials or access to systems we provide

• Use our services in compliance with all applicable laws and regulations

• Not use our services for any illegal, harmful, or fraudulent purposes

6. Payment Terms

• Payment is due according to the terms specified in your service agreement.

• Late payments may result in suspension of services and/or late fees.

• You are responsible for all fees associated with third-party platforms or tools required for your automation systems (e.g., Go High Level, email services, SMS services).

• All fees are in U.S. Dollars (USD).

7. Cancellation and Refunds

• Setup fees are non-refundable once work has commenced.

• Monthly retainer services may be cancelled with 30 days’ written notice unless otherwise specified in your service agreement.

• No refunds will be provided for partial months of service.

• Upon cancellation, you will retain access to any systems or assets we have built for you, but ongoing support and maintenance will cease.

8. Intellectual Property

• Your Content: You retain all rights to any content, data, or materials you provide to us. You grant us a limited license to use this content solely for the purpose of delivering our services to you.

• Our Work Product: Upon full payment, you will own the specific automation workflows, systems, and deliverables we create for you. However, we retain ownership of our proprietary methods, templates, processes, and any pre-existing intellectual property.

• Third-Party Platforms: Some services rely on third-party platforms (e.g., Go High Level, Squarespace, Calendly). Your use of these platforms is subject to their respective terms of service.

9. Confidentiality

We will not disclose your confidential business information to third parties except as necessary to provide our services or as required by law. You agree to keep confidential any proprietary methods, processes, or strategies we share with you.

10. Warranties and Disclaimers

• We will provide services in a professional and workmanlike manner.

• However, we make no guarantees regarding specific business outcomes, revenue increases, or lead generation results.

• Our services are provided “as is” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We are not responsible for failures or issues caused by third-party platforms, internet connectivity, or factors outside our reasonable control.

11. Limitation of Liability

To the fullest extent permitted by law:

• Coastal Automations, its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

• Our total liability for any claim arising from our services will not exceed the total amount you paid to us in the 12 months preceding the claim.

• We are not liable for any loss of data, revenue, profits, or business opportunities.

12. Indemnification

You agree to indemnify, defend, and hold harmless Coastal Automations and its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services

• Your violation of these Terms of Service

• Your violation of any third-party rights

• Any content or data you provide to us

13. Third-Party Services and Links

Our services may integrate with or link to third-party platforms and services. We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk.

14. Communication and Consent

By providing your phone number and email address, you consent to receive communications from Coastal Automations, including:

• Transactional messages related to your account, orders, or services

• Appointment reminders and confirmations

• Service updates and account notifications

• Marketing and promotional messages (if you opt in)

You may opt out of marketing messages at any time by replying STOP to SMS messages or clicking unsubscribe in emails. Transactional messages cannot be opted out of while you remain a client.

15. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes your acceptance of the modified terms. We will make reasonable efforts to notify you of material changes.

16. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, including but not limited to:

• Non-payment of fees

• Violation of these Terms of Service

• Fraudulent, abusive, or illegal activity

• Requests that exceed the scope of your service agreement

Upon termination, you remain responsible for any outstanding fees.

17. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any disputes arising from these terms or our services will be resolved through:

1. Informal Negotiation: We encourage you to contact us first to resolve any issues informally.

2. Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in Virginia Beach, Virginia, in accordance with the rules of the American Arbitration Association.

3. No Class Actions: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.

18. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms of Service, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Coastal Automations regarding our services and supersede any prior agreements or understandings.
